Fee Structure

Our fees are charged on invested capital only and align our interests directly with member returns.

Management Fee

Annual Management Fee

Charged each year on committed capital until exit to cover SPV administration, quarterly reporting, tax documentation, and ongoing management.

Example:
€50,000 invested, held for 4 years
Annual fee: €1,000/year
Total management fees: €4,000

Performance Fee

20%

Carried Interest

Charged on profits above your initial investment. We only make money when you make money.

Example: €50,000 → €75,000 = 20% of €25,000 profit = €5,000 carry

How Fees Are Charged

Management Fee: Charged Annually

The 2% management fee is charged every year your capital remains invested in the SPV, from the initial investment through exit. This recurring fee covers:

Quarterly reporting and performance updates
Annual tax documentation (K-1 preparation)
SPV administration and compliance
Communication with portfolio companies
Exit coordination and distribution management

Multi-Year Example:
€100,000 investment held for 5 years until exit
• Year 1: €2,000 management fee
• Year 2: €2,000 management fee
• Year 3: €2,000 management fee
• Year 4: €2,000 management fee
• Year 5: €2,000 management fee
Total management fees over 5 years: €10,000

Carried Interest: Charged Only at Exit

The 20% carried interest is charged only once, when the investment is sold and you receive proceeds. This performance fee is calculated only on profits above your initial investment.

Complete Example with Both Fees:
Initial investment: €100,000
Holding period: 5 years
Exit value: €300,000

Management Fees (Annual):
€2,000/year × 5 years = €10,000 total

Carried Interest (At Exit):
Profit: €300,000 - €100,000 = €200,000
Carry: 20% × €200,000 = €40,000

Your Net Proceeds:
€300,000 - €10,000 (mgmt) - €40,000 (carry) = €250,000
(2.5x return on your €100,000 investment)

Alignment of Interests

Our fee structure ensures we only succeed when you succeed. The 2% annual management fee covers operational costs throughout the investment lifecycle, while the 20% carried interest aligns our incentives with your returns.
